Social USB-C — Terms of Service

Note: these Terms are published in English so that the review teams at Google, Meta and TikTok can read them. A French version will follow. Until then, the English version is the only binding one.
1. Who we are
Social USB-C (the "Service") is operated by YANNIS HAISMANN OÜ, a private limited company registered in Estonia under number 17576158, with its registered office at Tartu mnt 67/1-13b, 10115 Tallinn, Estonia ("we", "us", "our"). We are not registered for VAT.

2. What the Service does
Social USB-C connects the social media accounts you choose (currently YouTube, TikTok, Instagram, Facebook, Threads, LinkedIn, X, Pinterest, Bluesky and Mastodon, together the "Platforms") through each Platform's official authorisation system (OAuth). Once an account is connected, you can:
- upload short videos, images and text posts and publish them right away on the Platforms you select;
- schedule those posts to be published later, from a shared calendar;
- see basic performance figures (views, likes, comments and similar) that the Platforms make available through their APIs.
Everything the Service publishes is published in your name, on your accounts, only when and where you told it to. We never see your Platform passwords. Whether a Platform is available in the Service depends on that Platform keeping its API open to us. We may add or remove Platforms over time.
3. Accepting these Terms
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy (https://socialusbc.com/privacy). If you use the Service on behalf of a company, you confirm that you are allowed to bind that company, and "you" then means the company.
4. Eligibility and your account
- You must be at least 18 years old. The Service is not intended for anyone under 18.
- You must give accurate information when you sign up and keep it up to date.
- One person per account. Keep your login details secret. You are responsible for everything done from your account, unless it results from a security failure on our side.
- Tell us at support@socialusbc.com as soon as you suspect that someone else is using your account.
5. Connecting your Platform accounts
- You connect a Platform by logging in on that Platform's own consent screen and approving the permissions listed there. We only receive the permissions you approve, and only for the accounts you select.
- You can disconnect a Platform at any time from your settings in the Service, or by revoking our access from the Platform itself. For Google and YouTube, you can do this at https://security.google.com/settings/security/permissions. When you disconnect, we stop publishing to that account and delete the related access tokens and data as described in the Privacy Policy.
- You must only connect accounts that you own or that you are clearly authorised to manage.
- Platforms may change or suspend their APIs, limit how often we can publish, or reject a post. We are not responsible for those decisions.
6. Third-party Platform terms
Each Platform has its own rules. By using the Service to connect to a Platform, you agree to that Platform's terms and you are responsible for complying with them. In particular:
YouTube and Google. The Service uses YouTube API Services. By using the Service, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms), including the YouTube Community Guidelines. Google's handling of your data is described in the Google Privacy Policy (https://policies.google.com/privacy). Before every upload to YouTube, the Service shows you the following notice, and by confirming the upload you certify it: "By clicking 'upload,' you certify that the content you are uploading complies with the YouTube Terms of Service (including the YouTube Community Guidelines) at https://www.youtube.com/t/terms. Please be sure not to violate others' copyright or privacy rights."
Facebook, Instagram and Threads (Meta). You agree to the Meta Terms of Service (https://www.facebook.com/terms), the Instagram Terms of Use (https://help.instagram.com/581066165581870), the Threads Supplemental Terms of Use published by Meta, and the Meta Community Standards. Our own access to Meta data is governed by the Meta Platform Terms (https://developers.facebook.com/terms/).
TikTok. You agree to the TikTok Terms of Service (https://www.tiktok.com/legal/page/row/terms-of-service/en) and the TikTok Community Guidelines. When you post through the Service, you also agree to TikTok's Music Usage Confirmation and, if you mark a post as branded content, to TikTok's Branded Content Policy. The Service shows these confirmations before each post, as TikTok requires. Until our TikTok integration has passed TikTok's audit, TikTok restricts posts made through it to private visibility. We will tell you in the app while this restriction applies.
LinkedIn, X, Pinterest, Bluesky and Mastodon. You agree to the terms of each of these Platforms: the LinkedIn User Agreement (https://www.linkedin.com/legal/user-agreement), the X Terms of Service (https://x.com/tos), the Pinterest Terms of Service (https://policy.pinterest.com/terms-of-service), the Bluesky Terms of Service (https://bsky.social/about/support/tos) and, for Mastodon, the rules of the server that hosts your account.
If a Platform's terms and these Terms disagree about how that Platform's data or features may be used, the Platform's terms apply for that Platform.
7. Your content
- You keep all rights to the videos, images, captions and other material you upload to the Service ("Your Content").
- So that we can do what you ask, you grant us a limited, non-exclusive, worldwide, royalty-free licence to store, copy, convert (for example, transcode a video into a format a Platform accepts), display back to you, and transmit Your Content to the Platforms and accounts you select, at the time you select. This licence exists only to operate the Service for you. It ends when you delete the content or your account, subject to the retention periods in the Privacy Policy and to copies already delivered to the Platforms.
- We do not claim ownership of Your Content, we do not use it for advertising, and we do not use it to train artificial intelligence models.
- You are responsible for Your Content. You confirm that you hold the rights needed to publish it (including music, images, trademarks and the consent of people who appear in it) and that it complies with the law and with each Platform's rules.
- We may remove content or refuse to publish it if we reasonably believe it breaks these Terms, the law or a Platform's rules. We will tell you when we do, unless the law prevents us.
8. Acceptable use
You must not:
- publish content that is unlawful, defamatory, hateful, or that infringes someone else's rights;
- use the Service to send spam, mass-post identical content, artificially inflate engagement, or otherwise manipulate a Platform;
- connect accounts that are not yours or that you are not authorised to manage;
- try to bypass Platform limits, audits or visibility restrictions, or use the Service in a way that could get our API access suspended;
- reverse engineer, scrape, resell or sublicense the Service without our written permission;
- upload malware or interfere with the security or operation of the Service;
- let anyone under 18 use your account.
We may suspend or close accounts that break these rules, in proportion to the seriousness of the breach.
9. Publishing and scheduling
- The Service publishes on a best-effort basis. A post can fail or be delayed because of a Platform outage, an API change, a rate limit, an expired token, or a Platform rejecting the content. We show the status of each post in your dashboard and, where the Platform tells us, why it failed.
- You remain the publisher. A post published through the Service has the same effect as if you had published it directly on the Platform.
- You review each post, choose the destination accounts, the visibility and any Platform-specific settings before it is published or scheduled. For TikTok, you confirm each post explicitly before anything is sent to TikTok.
- We do not promise any reach, ranking, follower growth or revenue.
10. Analytics
Performance figures shown in the Service come from the Platforms' APIs. They may be delayed, incomplete, or later corrected by the Platform. They are provided for information only.
11. Fees, billing and refunds
- Prices, plans and what each plan includes are published at https://socialusbc.com/pricing. [PRICING PLACEHOLDER: plans, monthly and yearly prices, limits per plan]
- Payments are processed by Stripe. We do not store your full card details.
- Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from your settings. Cancellation takes effect at the end of the current period, and you keep access until then.
- Prices are shown in euros. We are not registered for VAT, so no VAT is added at this time. If that changes, we will tell you at least 30 days before your price changes.
- Refunds: [REFUND POLICY PLACEHOLDER, for example: full refund on request within 14 days of your first payment, no refund on renewals]. If you are a consumer in the European Union, you have a legal right to withdraw within 14 days of subscribing. By asking us to start the Service immediately, you accept that if you withdraw during those 14 days you pay a proportional amount for the days already used.
- If a payment fails, we may suspend paid features after notifying you.
12. Term and termination
- These Terms apply for as long as you have an account.
- You can delete your account at any time from your settings or by writing to support@socialusbc.com. Deleting your account disconnects all Platforms, cancels scheduled posts and starts the deletion described in the Privacy Policy. Content already published on the Platforms stays there unless you delete it on the Platform.
- We may suspend or terminate your account if you break these Terms, if a Platform requires us to, if we must for legal or security reasons, or if we stop offering the Service. Except in urgent cases, we will give you notice and time to export your data.
- Sections that by their nature should survive (your responsibility for Your Content, limitation of liability, governing law) continue to apply after termination.
13. Changes to the Service
We may improve, change or discontinue features, and add or remove Platforms. If a change materially reduces what you pay for, we will tell you in advance, and you may cancel and receive a proportional refund for the unused period.
14. Warranties and disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law, we do not warrant that it will be uninterrupted or error-free, or that every post will be published on time. The Platforms' APIs are outside our control. Nothing in this section limits the rights that consumers have under mandatory law.
15. Limitation of liability
To the extent permitted by law:
- we are not liable for indirect losses, lost profits, lost revenue, lost data, or lost audience or engagement;
- we are not liable for a Platform's decisions, outages, changes, or actions taken against your account;
- our total liability for all claims relating to the Service in any 12-month period is limited to the amount you paid us in that period, or 100 euros if you paid nothing.
Nothing in these Terms excludes or limits our liability for intentional misconduct, gross negligence, death or personal injury, or anything that cannot be limited under applicable law. If you are a consumer, the mandatory consumer protection rules of your country of residence continue to apply.
16. Indemnity
If you use the Service as a business, you will compensate us for losses, costs and reasonable legal fees that arise from Your Content, from your breach of these Terms, or from your breach of a Platform's terms.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of Estonia. Any dispute that we cannot settle amicably will be brought before Harju County Court (Harju Maakohus) in Tallinn, Estonia. If you are a consumer in the European Union, this does not deprive you of the protection of the mandatory rules of your country of residence, and you may also bring a claim before the courts of that country. Consumers may also contact the Estonian Consumer Disputes Committee (Tarbijavaidluste komisjon, https://komisjon.ee).
18. Changes to these Terms
We may update these Terms. For material changes, we will email you or show a notice in the Service at least 14 days before they take effect. If you keep using the Service after that date, the new Terms apply. If you disagree, you may cancel before that date.
19. Other terms
- These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
- If part of these Terms is found invalid, the rest continues to apply.
- You may not transfer your account or these Terms to someone else. We may transfer them to a successor of our business, with notice to you.
- If we do not enforce a term at some point, we can still enforce it later.
- Notices to you are sent to the email address on your account. Notices to us go to legal@socialusbc.com.
